Hardware Generation
No legacy hardware. Ever.
Verde Compute maintains a strict minimum hardware generation policy. Current engagements are deployed on NVIDIA Blackwell architecture — the minimum standard, regardless of contract size or term. Older generations are not offered at any price point — there is no discount tier for obsolete silicon.

Dedication
No shared compute. No exceptions.
Every engagement is served by a dedicated GPU cluster exclusively assigned to that client. No multi-tenant virtualization, no time-slicing, no workload co-location of any form. Each engagement is physically and logically isolated — non-negotiable aspects of the Verde service model, regardless of engagement size.

Accountability
Institutional-grade legal structure.
Each engagement is intended to be structured through a dedicated Delaware SPV — a newly incorporated, legally independent entity. Liability is isolated, terms are fixed, and escrow controls protect client funds. The legal architecture matches the scale of the commitment being made.

Verde Compute was designed so that every client protection — escrow controls, insurance coverage, SPV isolation, SLA enforcement — operates independently of any individual. The team delivering the service is what matters. The founder's role is capital structure, vendor relationships, and client engagement.

Infrastructure first. Verde Compute was designed around the physical and legal requirements of dedicated AI infrastructure — not adapted from a cloud or colocation model.

Institutional accountability. The company structure, legal frameworks, and operational processes are designed to meet the standards of institutional procurement teams, legal review, and financial due diligence.

A new Delaware LLC SPV is formed for each engagement. Assets, contracts, and cash flows are ring-fenced from all other Verde operations and clients. One engagement's risk cannot propagate to another.

Legal Structure

Each engagement has its own legal entity. Verde parent credit risk cannot spill into your engagement. Escrow at a Tier-1 trustee. Take-or-Pay governs both directions.
Cloud: standard EULA, service credit remedies only. No SPV, no escrow, no ring-fence.

Named Engineering Team
Named engineering team. NVIDIA-certified. In the contract.
Each engagement's engineering team is documented in MSA Exhibit A by name. They cannot work on any other Verde engagement simultaneously. An NVIDIA-certified lead is assigned to every deployment. Credentials and references are provided to qualified counterparties under NDA before signing.
Cloud: anonymous support tiers. Ticket queues. Escalation paths not disclosed in advance. SLA = credit, not fix.

Month 37 Transparency
Term-end options disclosed at the pre-term review.
Six months before contract end, Verde discloses in writing exactly what happens next: Evergreen (hardware upgrade, same team, next-generation architecture) or Ownership (buy the cluster at independently assessed market value). Structured in the MSA at signing — not negotiated under renewal pressure.
Cloud: no asset to buy at end. Colo: you own the hardware, but you own the engineering problem too.

Zero-Access Architecture
BYOK encryption. Verde sees your infrastructure, not your data.
Client holds all encryption keys under a BYOK framework. Verde's NOC can monitor GPU health, SLA metrics, and hardware status — but cannot access decrypted workloads, model weights, or training data. Contractually enforced.
Cloud: provider holds encryption key management by default. Key custody separation requires explicit setup and trust in the provider's key management service.
